Governance & assurance

Governance & SEBI

Keep board, committee, corporate and applicable listing obligations connected to decisions and evidence.

PURPOSE & PRACTICE

Keep governance commitments moving after the meeting.

A meeting creates decisions, responsibilities and follow-up work. Governance records become more useful when an approved resolution can be traced to its action owner, due date and eventual completion evidence.

The module connects board and committee work, director-related records and applicable corporate or listing obligations. Secretarial and compliance teams can organise the governance calendar and preserve the context behind each action.

  • Board and committee offices
  • Governance compliance

CAPABILITIES

What you can manage.

01

Board and committee coordination

Organise meeting calendars, agenda support, minutes and resolutions. Keep the approved record and subsequent action tracking connected.

02

Directors and governance reviews

Maintain applicable appointment, fit-and-proper, declaration and conflict-review work. Track periodic policy and governance assessments with their supporting records.

03

Corporate and listing obligations

Coordinate applicable company-law and SEBI compliance tasks. Establish listing and entity applicability before assigning disclosure or filing responsibilities.

FROM INPUT TO OUTCOME

A practical path through the work.

  1. Prepare the governance record

Gather agenda support and the applicable obligation or review basis for the meeting or decision.

  2. Record the approved decision

Retain approved minutes or resolutions and identify the owner and expected outcome for each resulting action.

  3. Validate the follow-through

Review completion support, carry forward unresolved items and preserve any required filing reference.

YOUR INSTITUTION, YOUR SCOPE

Relevant to banks and NBFCs.

BANKING INSTITUTIONS

For banks

Map the bank’s board and committee responsibilities to its approved governance structure. Coordinate secretarial records with prudential and risk-review actions where relevant.

NON-BANKING FINANCIAL COMPANIES

For NBFCs

Set governance scope for the NBFC’s entity type, category and listing status. Listed and unlisted institutions should not inherit the same disclosure checklist by default.

PRACTICAL QUESTIONS

Before you put it to work.

Do SEBI workflows apply to every institution?

No. Listing status, instruments and entity circumstances determine the relevant scope. The institution must approve which obligations belong in its governance calendar.

Is this a complete virtual boardroom?

The module covers governance coordination, records and follow-up controls. Specialist meeting, voting or board-portal requirements should be assessed separately during implementation.
